Entry Level Associate - Tax

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire third year law students graduating in 2023 for first year associate positions in our Tax practice group. Law firm and transactional experience is a plus, but not a requirement. The ideal candidate will have excellent credentials and will sit for the New York State bar. The base salary for incoming, first-year associates is $215,000.

Junior and Mid-Level Associates - Antitrust

Junior or Mid-Level Associate - Litigation/Arbitration

Cleary Gottlieb Steen & Hamilton LLP is seeking to hire a stellar junior or mid-level associate to join the firm’s Litigation/Arbitration Practice Group in the Bay Area. The ideal candidate will have experience working on complex civil and/or criminal litigation and arbitration matters; coordinating teams in reviewing and preparing legal documentation related to U.S. disputes and discovery. Experience working on white-collar defense, enforcement actions, and crisis management is a plus. Ideal candidates will have 1-4 years of relevant experience, excellent credentials and California bar admission is a plus. Candidates will be considered for Palo Alto or San Francisco.

The ideal candidate will have 1-3 years of relevant work experience with significant transactional experience including M&A and Private Equity tax work, as well as excellent credentials and California bar admission.

Junior-Level Associate – Private Clients

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire an associate to its growing and highly successful Private Clients group. Lawyers in the Private Clients practice act as “general counsel” to high-net worth clients and advise on a full range of matters, including:

• Estate, gift and income tax planning

• Cross-border and international planning

• Administration of trusts and estates

• Closely-held businesses and succession planning

• Matrimonial matters

• Private investments

• Transactions and planning involving residential real estate and luxury items, including art, boats and aircrafts

• Charitable planning

Lawyers in the Private Clients group work collaboratively with other practice groups in the firm in Cleary’s network of 16 offices on four continents. The ideal candidate will have 1 to 2 years of experience serving high-net worth individuals and have excellent credentials. Candidates who have successfully passed the New York Bar exam or are already admitted in New York are encouraged to apply. Additional bar admissions in Florida, New Jersey and Connecticut and an LLM in Taxation is a plus but not a requirement.

Junior-Level or Mid-Level Associate - M&A

Cleary Gottlieb Steen & Hamilton LLP is seeking to hire a stellar junior or mid-level associate for our Mergers & Acquisitions practice, focusing on acquisitions, divestitures, mergers and joint ventures, private equity funds, and financial institutions. Candidates should have experience as a lead associate managing transactions and drafting definitive agreements as well as knowledge handling all other aspects of a transaction.  The ideal candidate should have 1-4 years of M&A experience, be admitted to the California Bar, and have excellent credentials. Candidates will be considered for Palo Alto or San Francisco. 

Mid-Level Associate - Debt Finance

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire an associate for our Debt Finance Practice. The ideal candidate will have 2-4 years of experience in private equity debt finance transactions. We will consider candidates with experience on the sponsor / borrower or lender side, even though our practice is borrower focused. The candidate should have the ability to manage complex transactions, as well as excellent credentials.

Mid-Level Associate - Derivatives Practice

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire a mid-level associate for our Capital Markets group, Derivatives Practice. Candidates should have relevant work experience in derivatives transactions, including, but not limited to, equity derivatives, convertible notes, margin loans, Cryptocurrency, and securities-backed credit facilities. Experience representing financial institutions, private funds, and other derivative end users on issues relating to securities and derivatives regulations is preferred. The ideal candidate will have 3-5 years of derivatives transactions experience, be admitted to the New York Bar, and have excellent credentials.

Mid-Level Associate - Executive Compensation & ERISA

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire a stellar mid-level associate for our Executive Compensation & Employee Benefits practice.  The ideal candidate will have a diversified executive compensation and benefits practice with experience advising both private and public companies, as well as alternative asset managers, on executive compensation matters, including supporting M&A, corporate governance and capital markets matters. Candidates should have 3-5 years of executive compensation and employee benefits experience, and be admitted to the New York Bar with excellent credentials.

Secured Transactions Resource Lawyer - Debt Finance

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire a Secured Transactions Resource Lawyer for our Debt Finance Practice, as well as other practice areas that have secured transactions needs, including the financial institutions and Latin American groups. The Secured Transactions Resource Lawyer will support these practice areas in secured transactions matters.  The Secured Transactions Resource Lawyer will be supervised by and work closely with senior lawyers who specialize in secured transactions.

Primary responsibilities of the Secured Transactions Resource Lawyer, include, but are not limited to:

  • Drafting and reviewing various collateral and security documentation (including, but not limited to, perfection certificates, intercompany notes, stock powers and allonges, IP short form security agreements, control agreements and collateral schedules)
  • Performing due diligence on collateral
  • Coordinating with domestic and foreign local counsel on the negotiation of local-law collateral documentation and related workstreams
  • Drafting and coordinating post-closing collateral documentation (including, but not limited to, joinders of new loan parties and supplemental collateral documentation and annual perfection certificate updates)
  • Reviewing and coordinating UCC lien searches and financing statements, termination statements and continuations
  • Assisting the deal teams in reviewing and drafting pledge and security agreements and credit agreement provisions relating to collateral, as needed
  • Working with junior associates with respect to their responsibilities in relation to the foregoing tasks

Required Qualifications: The ideal candidate will have a minimum of 3-4 years of relevant corporate experience (Debt Finance secured transactions experience strongly preferred), be admitted to the New York Bar with excellent credentials, and have the ability to communicate effectively, as well as possess strong client service skills.

The base salary for this position is $120,000 to $160,000.  Actual pay is determined based on a number of job-related factors, including skills, education, training, credentials, experience, scope and complexity of role responsibilities, and performance.

Senior Associate/Attorney – CFIUS and Sanctions Practice

The Washington office of Cleary Gottlieb Steen & Hamilton LLP is seeking a stellar senior level associate/attorney for its growing CFIUS and sanctions practice. The ideal candidate will have experience preparing CFIUS notices and running CFIUS processes, as well as experience with non-U.S. foreign direct investment regimes, economic sanctions, and export controls. Candidates with a diverse background and experience in international trade and national security matters is a plus.  Candidates should have a minimum of 6-8 years of relevant experience, and be admitted to the New York or D.C. Bar along with excellent credentials.

Senior Staff Attorney – Tax Practice

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire a senior staff attorney for our Tax Practice. The ideal candidate will have 4 or more years of relevant work experience with significant transactional experience including tax work in M&A, private equity, capital markets and debt finance.  Specific experience in REMICs, collateralized loan obligations, fund conduits, equity disclosure including PFIC analyses, LP Transfers and sub document review for funds is preferred, but experience in all of these is not required.  The ideal candidate will be licensed to practice in New York, possess superior organizational skills and have excellent credentials.

Senior Staff Attorney Salary: The base salary for this position is $150,000 to $325,000.  Actual pay is determined based on a number of job-related factors, including skills, education, training, credentials, experience, scope and complexity of role responsibilities.
