Debt Finance Mid-Level Associate (Sponsor Finance Practice)

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire an associate for our Debt Finance, Sponsor Finance Practice. The ideal candidate will have 2-5 years of relevant work experience in representing financial sponsors and/or lenders in subscription credit facilities and management company and other upper tier financings at a law firm or in house at a sponsor or bank and be admitted to the New York Bar with excellent credentials.

IP Transactional Mid-Level Associate

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire a mid-level associate for our transactional Intellectual Property, Technology & Data practice.  The ideal candidate will have diversified experience advising clients on intellectual property, technology and data-related matters, such as licensing, settlements, R&D collaborations, IT agreements, IP ownership restructuring, IP and privacy advice, data sharing and matters relating to corporate transactions, including supporting M&A, capital markets and debt finance matters.  In addition, the practice is also involved in intellectual property aspects of the firm's matters across all of its many practice groups, advising clients on intellectual property issues related to real estate, private funds, bankruptcy and antitrust matters and advising the firm's private clients.  The ideal candidate  should have 3-5 years of intellectual property or technology transactions experience, and be admitted to the New York Bar with excellent credentials. Data privacy experience a plus, but not required.


Mid-Level Associate - Debt Finance

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire an associate for our Debt Finance Practice. The ideal candidate will have 3-6 years of relevant work experience, the ability to manage complex borrower-side financing lending transactions for high grade and/or leveraged borrowers, as well as excellent credentials.

Mid-Level Associate - M&A

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire a stellar mid-level associate for our Mergers & Acquisitions practice, focusing on acquisitions, divestitures, mergers and joint ventures, private equity funds, and financial institutions. Candidates should have experience as a lead associate managing transactions and drafting definitive agreements as well as knowledge handling all other aspects of a transaction.  The ideal candidate should have a minimum 3 years of M&A experience, be admitted to the New York Bar, and have excellent credentials. 


Mid-Level Associate - Real Estate

Mid-Level Associate - Tax

The ideal candidate will have 4 or more years of relevant work experience with significant transactional experience including M&A and Private Equity tax work, as well as excellent credentials.


Private Funds Client Resource Lawyer

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire a Private Funds Client Resource Lawyer for our Private Funds Practice. The group represents a broad range of clients, including some of the most elite and sophisticated GPs and LPs as well as mid-market firms, entrepreneurs and other new entrants in the field.  The practice is involved in all aspects of private funds, including fundraising, co-investments, secondary transactions, and other fund-related matters, providing its lawyers with a well-rounded experience and strong foundations for future success.

Key Responsibilities: The Private Funds Client Resource Lawyer will support the Private Funds group and assist with managing client relationships with all matters, including but not limited to:

·         Interacting directly with clients and serving as a key point of contact

·         Working with client to form deal structures, including aggregators and AIVs

·         Managing transfer teams and reviewing transfer documents

·         Responding to inquiries from client and deal counsel on regulatory issues related to fund investors

·         Assisting with drafting of compliance manuals and “most favored nation” books

·         Managing large teams of associates and collaborating with senior members of the funds group

Required Qualifications: The ideal candidate will have a minimum of  3 years of experience working on private fund formation at a law firm, be admitted to the New York Bar with excellent credentials, and the ability to communicate effectively, as well as possess strong management skills.  


Real Estate Resource Lawyer

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire a Real Estate Resource Lawyer for our Real Estate Practice. 

Key Responsibilities: The Real Estate Resource Lawyer will support the Real Estate and Private Client groups, with an emphasis on representing high net worth clients through all stages of a wide variety of private real estate transactions, as well as supporting the commercial transactions of the Real Estate Practice, including but not limited to:

• Drafting and negotiating contracts for the purchase, sale, gifting, financing and leasing of condominiums, cooperative apartments, and private homes
• Due diligence analysis, including review of title, property survey, condominium and cooperative agreements and other property diligence in connection with the purchase of residential real estate 
• Reviewing building plans, permits, architect and contractor agreements
• Analysis of real property transfer taxes and FIRPTA rules in connection with real estate transactions, including for transactions between individuals and trusts 
• Drafting and negotiating contracts in connection with commercial transactions, including the acquisition, financing and disposition of real property throughout the United States

Required Qualifications: The ideal candidate will have a minimum of  5 years of experience working on New York residential and commercial real estate transactions at a law firm, be admitted to the New York Bar with excellent credentials, and the ability to communicate effectively, as well as possess strong client service skills. Transactional real estate experience working on financing transactions and equity investments is a plus.

Senior Associate – Private Clients Practice

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to add a senior associate to its growing and highly successful Private Clients group. Lawyers in the Private Clients practice act as “general counsel” to high net worth clients and advise on a full range of matters, including:

  • Estate, gift and income tax planning
  • Cross-border and international planning
  • Administration of trusts and estates
  • Closely-held businesses and succession planning
  • Matrimonial matters
  • Private investments
  • Transactions and planning  involving residential real estate and luxury items, including art, boats and aircrafts
  • Charitable planning

Lawyers in the Private Clients group work collaboratively with other practice groups in the firm in Cleary’s network of 16 offices on four continents.  The ideal candidate will have superior client skills and a desire for advancement with at least 7 or more years of experience serving high net worth individuals, be admitted to the New York Bar, and have excellent credentials.  Additional bar admissions in Florida, New Jersey and Connecticut and an LLM in Taxation is a plus but not a requirement.


Senior Staff Attorney – Tax Practice

The ideal candidate will have 4 or more years of relevant work experience with significant transactional experience including M&A, debt, capital markets, REMICs, conducting PFIC analysis and reviewing LP Transfers, and private equity tax work. The ideal candidate will be licensed to practice in New York, possess superior organizational skills and have excellent credentials.

Job Responsibilities: Estate and trust administration and basic estate planning - including the preparation of probate and administration proceeding papers, estate administration including  collection and valuation of assets, payment of debts and bequests, preparation and filing of federal and state estate tax returns, preparation of informal estate and trust accountings, administration of ongoing trusts, including distribution requests, income tax payments, review of Form 1041’s prepared by outside accountants, preparation of receipt and release agreements, fiduciary appointments and tax planning, preparation of basic estate planning documents such as wills and trusts.  As the candidate’s experience grows the responsibilities of the job will also expand.

Required Qualifications: The ideal candidate should have 5 or more years of trusts and estates experience and be comfortable with using math and excel. Must have a  J.D. from an ABA-accredited law school and be admitted to the New York Bar.
