Cleary Gottlieb Steen & Hamilton LLP seeks an Associate (Mid-level) in New York, NY to research and analyze legal issues in connection with United States and international regulatory framework for financial instruments and institutions. Requires J.D., LL.M. or equivalent and two years of experience as an Associate or related occupation. Must include two years of experience in each of the following: Advising and representing clients in connection with the structuring and documentation of complex transactions, including financing transactions such as swaps, repos, and securities loans, counterparty risk-management arrangements such as cross-collateralization and cross-margining agreements, as well as crypto trades; Providing regulatory specialist support for deal teams in private fund formation and capital market transactions, including by reviewing and negotiating U.S. regulatory provisions of legal documents, analyzing on CFTC registration exemption eligibility, and advising on LIBOR transition; Advising institutional clients on the enforceability of security interest and contractual rights under different U.S. insolvency regimes (Bankruptcy Code, SIPA, FDIA, OLA, and the CFTC’s Part 190 Rules), and coordinating and providing instructions to lawyers in non-U.S. jurisdictions to obtain foreign legal analysis and opinions on creditor’s rights matters; Representing dealers, end users, and industry groups on U.S. regulatory matters (in particular Title VII of Dodd-Frank, Volcker Rule, and margin/capital regulations), including preparation of compliance materials, assistance in investigations and self-reporting of violations, and drafting of comment letters on proposed regulatory actions; and Representing small businesses and nonprofits on corporate governance such as entity formation and corporate compliance under NY law and transaction matters including co-venture arrangements, investments, and commercial agreements, and advising immigrants on humanitarian relief. Must be admitted to practice law in the State of New York.
The base salary for associate positions is $215,000 to $415,000/ year, depending upon class year.
