Cleary X - Due Diligence Analysts

Cleary X is seeking to hire Due Diligence Analysts, who will work on M&A due diligence and other corporate transactional matters. Roles will be either full time or in some cases temporary (with a short hiring track for a potential permanent position). These are non-traditional roles, offering a different career path. Cleary X provides an exciting opportunity to work in innovative ways on transactional work, using legal technology platforms and project management approaches. The positions will be fully remote, with the potential for infrequent travel for meetings. 

Responsibilities

  • Reviewing and summarizing documents for M&A due diligence, including summarizing documents such as customer, supplier and reseller agreements, acquisition agreements, organizational documents (articles, bylaws, shareholder agreements) etc.;
  • Using legal technology for data room management, project management and the review and analysis of legal documents;
  • Engaging in other transactional legal work, such as potentially supporting the drafting and review of form agreements and the review and development of knowledge databases.

Qualifications

  • Bar Admission in the jurisdiction where the candidate is residing and working: CA, CT, DC, MD,  NJ, NY, PA, VA, MN, OH, WA, Puerto Rico, or TX 
  •  1+ years of M&A due diligence or general corporate due diligence experience;
  • Familiarity with key types of corporate contracts;
  • Flexibility in hours required.

Debt Finance Mid-Level Associate (Sponsor Finance Practice)

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire an associate for our Debt Finance, Sponsor Finance Practice. Director, Transactional Products for Cleary X

Cleary X is seeking to hire a Director, Transactional Products to help build and lead innovative products and services focused on transactional corporate work. The role will initially be focused on M&A and, in particular, building new models of due diligence work, leveraging technology where possible. This role will also lead the creation of other products and services focused on transactional practices, and will identify opportunities to provide such products and services both internally for the Firm and for clients.  This could include other transactional management such as alternative staffing models, project management, document and process automation.

This role provides an exciting career opportunity in a start-up like environment for someone with experience in corporate transactional work, and with enthusiasm for re-thinking and automating legal work, and for designing ways to effectively combine people, process and technology.  We are seeking enthusiastic, entrepreneurial candidates with a solutions-oriented approach. The role will be a permanent, full-time role conducted largely remotely and will report to the CEO of Cleary X.

Responsibilities

  • Initially, supporting the creation of new models of due diligence and deploying technology and alternative resources where appropriate.  This will involve some process improvement and project management;
  • Potentially supervising attorneys conducting the review and summary of documents for M&A due diligence, and conducting quality control over their work initially (including designing processes for efficient quality control and process management);
  • Liaising with lead attorneys on transactions, including leading the scoping of diligence projects;
  • Helping to plan for and hire staff and/or contract attorneys to conduct diligence and other transactional support as required;
  • Using legal technology for data room management, project management, document and process automation, and the analysis of legal documents;
  • Considering other areas of potential Cleary X support for transactional legal work including specialized contract review, and potentially designing/building models for drafting, document automation, closing management, etc.;
  • Helping to build templates, models, knowledge banks and training for Cleary X team members and others.
  • This is a remote opportunity with flexibility in hours and limited travel required.

Qualifications

The ideal candidate will have 4-5 years or more experience in a corporate transactions practice, including experience managing due diligence (preferably in a large law firm environment). The ideal candidate will be admitted in either CA, CT, DC, MD,  NJ, NY, PA, VA, MN, OH, WA, Puerto Rico, or TX and will exhibit excellent communication skills (written & oral); ability to exercise judgment and juggle multiple, competing priorities; good problem solving skills and a positive, resilient approach to the challenges of  change management; and a process oriented approach, with an emphasis on improving processes and working within an agile/lean approach. Some experience with technologies supporting due diligence, corporate transaction management and document and process automation are a plus.

IP Transactional Mid-Level Associate

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire a mid-level associate for our transactional Intellectual Property, Technology & Data practice.  The ideal candidate will have diversified experience advising clients on intellectual property, technology and data-related matters, such as licensing, settlements, R&D collaborations, IT agreements, IP ownership restructuring, IP and privacy advice, data sharing and matters relating to corporate transactions, including supporting M&A, capital markets and debt finance matters.  In addition, the practice is also involved in intellectual property aspects of the firm's matters across all of its many practice groups, advising clients on intellectual property issues related to real estate, private funds, bankruptcy and antitrust matters and advising the firm's private clients.  The ideal candidate  should have 3-5 years of intellectual property or technology transactions experience, and be admitted to the New York Bar with excellent credentials. Real Estate Resource Lawyer

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to hire a Real Estate Resource Lawyer for our Real Estate Practice. 

Key Responsibilities: The Real Estate Resource Lawyer will support the Real Estate and Private Client groups, with an emphasis on representing high net worth clients through all stages of a wide variety of private real estate transactions, as well as supporting the commercial transactions of the Real Estate Practice, including but not limited to:

• Drafting and negotiating contracts for the purchase, sale, gifting, financing and leasing of condominiums, cooperative apartments, and private homes
• Due diligence analysis, including review of title, property survey, condominium and cooperative agreements and other property diligence in connection with the purchase of residential real estate 
• Reviewing building plans, permits, architect and contractor agreements
• Analysis of real property transfer taxes and FIRPTA rules in connection with real estate transactions, including for transactions between individuals and trusts 
• Drafting and negotiating contracts in connection with commercial transactions, including the acquisition, financing and disposition of real property throughout the United States

Required Qualifications: The ideal candidate will have a minimum of  5 years of experience working on New York residential and commercial real estate transactions at a law firm, be admitted to the New York Bar with excellent credentials, and the ability to communicate effectively, as well as possess strong client service skills. Transactional real estate experience working on financing transactions and equity investments is a plus.

Senior Associate – Private Clients Practice

The New York office of Cleary Gottlieb Steen & Hamilton LLP is seeking to add a senior associate to its growing and highly successful Private Clients group. Lawyers in the Private Clients practice act as “general counsel” to high net worth clients and advise on a full range of matters, including:
